# Group derivatives governance for SOE groups

Group derivatives governance is Tranexio’s solution for the headquarters of state-owned and other enterprise groups. It applies four-level control (qualification, plan, authorisation and limit) to subsidiaries’ futures, options and FX derivatives, rejecting any order that fails a gate before it is placed, with alerts, material-event reports, subsidiary reporting and quarterly and monthly reports.

## Key points

- **Four-level control chain**：Business qualification, annual, quarterly and daily plan limits, trader authorisation and limit utilisation form four gates; an order that fails any one is rejected before it is placed.
- **Multi-account trading gateway**：Multiple entities, funding accounts, broker trading systems and exchanges converge on a single order entry point, routed by rules, with failover to a standby system if one goes down.
- **Unified ledger and exposure**：Subsidiaries’ positions, hedge relationships and exposure roll up into a group view that headquarters can drill into by product, entity and account.
- **Alerts and material events**：Limits nearing their ceiling, losses over threshold and insufficient margin trigger alerts, and material-event reports follow a template-based workflow with a full trail.
- **Subsidiary reporting**：Subsidiaries submit on a common basis, the platform accepts submissions idempotently and returns non-conforming ones for resubmission, and quarterly and monthly reports are compiled automatically.

## The problem

Subsidiaries trade derivatives through several futures brokers and many funding accounts, so headquarters often receives only a summary at month-end. Whether plans were exceeded, traders overstepped their authority or exposure ran out of control is only known after the event, and reporting upwards means chasing each subsidiary for figures and merging them by hand.

## What the platform does

| Control step | How Tranexio handles it |
|---|---|
| Qualification | Which business types and products each subsidiary may trade |
| Plan | Annual, quarterly and daily plan limits, with execution tracking |
| Authorisation | Each trader’s scope, products, limits and validity period |
| Limits | Consumed when an order is placed, released on close-out and expiry |
| Trading | A single order entry point through the [multi-account trading gateway](https://tranexio.com/en/resources/glossary/multi-account-gateway/) |
| Monitoring | Alert centre, material-event reports and a group exposure view |
| Reporting | Subsidiary submissions and quarterly and monthly reports |

The [four-level control](https://tranexio.com/en/resources/glossary/four-level-control/) chain and [hedge accounting](https://tranexio.com/en/resources/glossary/hedge-accounting/) share the same hedge relationship data, so control and accounting treatment stay consistent.

## Who it is for

- Group headquarters responsible for governing and reporting on subsidiaries’ derivatives business.
- Trading groups dealing through several futures brokers and accounts at once.
- Companies that must strictly separate and document hedging versus speculation.

## FAQ

### How exactly does four-level control block orders?

When a trader places an order, the system checks in turn whether the entity is qualified for that business, whether the order is within plan limits, whether the trader is authorised and whether enough limit is available. If any of the four gates fails, the order is rejected and the reason recorded, without relying on after-the-fact checks.

### Can subsidiaries report if they use their own systems?

Yes. Subsidiaries can report through the platform’s submission interface on a common basis; the interface verifies signatures, accepts submissions idempotently and returns non-conforming ones for resubmission. Alternatively they can run their business directly on the platform, and the data is consolidated automatically.

### Can it produce reports for the parent company or regulators?

Yes. The platform summarises plan execution, positions, P&L and hedge effectiveness by quarter and month to produce reporting packs, keeping the data definitions and versions used so they can be reviewed.

### Are there real-world results?

At one non-ferrous metals trading group, group exposure went from a monthly roll-up to same-day visibility, authorisation changes took effect the same day, and the quarterly derivatives report fell from several person-days to hours. These results are measured against that group’s own baseline and are not a general promise.
